Licence Agreement

Effective date: 01-01-2026, Profshare Market Research Private Limited ("Profshare", "we", "us")

This Licence Agreement governs your use of any market research report ("Report") purchased from profsharemarketresearch.com. By completing a purchase, the named buyer ("Licensee") agrees to the terms below.

1. Grant of Licence

Subject to payment in full and these terms, Profshare grants the Licensee a non-exclusive, non-transferable, non-sublicensable licence to access and use the purchased Report in accordance with the licence tier selected at purchase.

The licence becomes effective upon successful payment and remains valid for the access period stated for the tier purchased.

2. Licence Tiers and Permitted Use

The scope of permitted use depends on the licence tier purchased.

2.1 Cloud Access (single named user, view-only)

• Access is limited to one (1) named user, identified by the email address provided at purchase.
• Access is view-only, via the secure online reader on profsharemarketresearch.com.
• Access window: three (3) months from delivery.
• The Report may not be downloaded, printed, saved, copied, redistributed, screenshotted in whole, or shared in any form.
• Login credentials are personal to the named user and may not be shared.

2.2 Team Licence (up to 5 named users)

• Access is limited to up to five (5) named users within the Licensee's organisation, each identified by a verified work email address on the Licensee's organisation domain.
• Permitted use: online viewing, PDF and Excel download, printing, and internal team sharing within the Licensee's organisation.
• Access window: twelve (12) months from delivery.
• Each named user must accept their own account. Login credentials are personal and may not be shared between users.

2.3 Enterprise Licence (organisation-wide)

• Access extends to all employees and contractors of the Licensee's organisation and its majority-owned subsidiaries, identified by email addresses on verified organisation domains.
• Permitted use: online viewing, PDF and Excel download, printing, and internal sharing across the organisation.
• Access window: twelve (12) months from delivery.
• Additional subsidiary domains may be added by the Licensee's administrator from within their account dashboard.

3. Permitted Use — All Tiers

Across all tiers, Reports are licensed for the Licensee's internal business use only, which includes:

• Reading, reviewing, and analysing the Report internally.
• Using insights from the Report to inform internal strategy, planning, and decision-making.
• Referencing limited excerpts (no more than 250 words from any single Report, with attribution to Profshare Market Research) in internal documents, presentations, and proposals to clients.
• Quoting brief data points with attribution in external publications subject to Profshare's prior written approval.

4. Prohibited Use- All Tiers

The Licensee may not:

• Resell, sublicense, rent, lease, lend, distribute, publish, or otherwise commercially exploit the Report or any substantial portion of it.
• Share the Report (or download files, login credentials, or substantial extracts) with any party outside the licensed scope, including affiliates, consultants, clients, or partners not covered by the licence tier purchased.
• Upload, host, or make the Report available on any public, semi-public, intranet, extranet, file-sharing service, AI/LLM training dataset, or similar platform.
• Use the Report to create a competing or derivative product, service, or report.
• Remove, alter, or obscure any copyright notices, trademarks, branding, or attribution.
• Use the Report in any manner intended to circumvent or extend the licence tier purchased.
• Reproduce more than 250 words verbatim in any external document without Profshare's prior written consent.

Breach of this section is a material breach of this Agreement.

5. Intellectual Property

All Reports, including their text, data, analysis, charts, methodology, structure, and presentation, are the intellectual property of Profshare Market Research and protected by applicable copyright and intellectual property laws. No ownership of the Report is transferred to the Licensee. The licence granted is a right of use only.

6. Delivery

Reports are delivered electronically, typically within 48 hours of payment confirmation, to the Licensee's account on profsharemarketresearch.com. The Licensee will be notified by email when the Report is available.

Custom requests, supplementary data, or additional analyst access (as included with the licence) may be subject to separate delivery timelines.

7. Analyst Access

Where included with the licence tier, the Licensee is entitled to 90 days of post-delivery analyst access for clarifying questions about the Report's content. Analyst access is intended for clarification of the Report's findings; it does not constitute custom research, bespoke analysis, or consulting services, which may be available separately.

8. Termination

Profshare may terminate this licence with immediate effect, without refund, if the Licensee:

• Materially breaches this Agreement, including any prohibited use under Section 4;
• Initiates a chargeback or payment reversal after the Report has been delivered, without first contacting Profshare to seek resolution;
• Engages in fraud or unauthorised use of the Report or the platform.

On termination, the Licensee must cease all use of the Report and destroy or permanently delete any local copies.

9. Disclaimer of Warranty

Reports are based on research, analysis, and reasonable estimates available as of the date of publication. Profshare provides Reports "as is", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

Reports are intended to inform not replace, the Licensee's own judgment. Reports do not constitute investment, legal, tax, financial, or professional advice. The Licensee remains solely responsible for decisions made on the basis of the Report's contents.

10. Limitation of Liability

To the maximum extent permitted by law, Profshare's total liability under this Agreement, for any cause whatsoever, shall not exceed the amount paid by the Licensee for the specific Report giving rise to the claim. Profshare shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, however caused.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of state of Maharashtra (India). The courts of Pune (India) shall have exclusive jurisdiction over any disputes arising out of or relating to this Agreement.

12. Changes to this Agreement

Profshare may update this Agreement from time to time. The version in effect at the date of purchase governs that purchase. Continued use after an update constitutes acceptance of the updated Agreement for future purchases.
